As part of that Annual Meeting, we will be voting on a change in our bylaws. Our industry is changing on a regular basis with mergers, acquisitions, technology advancements and government regulations. When our founders created the first set of bylaws for HTC, there is no way they could have foreseen all of these changes. Therefore, they are reviewed on an annual basis. The bylaw change proposed for this year deals with HTC having the ability to offer membership for services that are offered by the Cooperative, but may not be entirely owned by the Cooperative. Looking to the future and planning for business efficiencies, this change would allow HTC to collaborate with other service providers in providing future services that would qualify for membership even if HTC was not the sole owner of the entity providing the service. We will be happy to provide additional information and answer any questions you may have. PROPOSED AMENDMENT TO THE BYLAWS OF HORRY TELEPHONE COOPERATIVE, INC. 1. Amend Article I Section 1 of the Bylaws to insert the underlined language so that it reads, after amendment, in pertinent part as follows: ARTICLE I MEMBERSHIP SECTION 1. Requirements for Membership. Any person, firm, association, corporation or body politic or subdivision thereof will become a member of Horry Telephone Cooperative, Inc. (hereinafter called the "Cooperative") upon receipt of telephone or other communication services from the Cooperative or any affiliate of the Cooperative in which the Cooperative holds an ownership interest (hereinafter "Affiliate"), provided that he or she or it has first: (a) Made the required application for membership therein; (b) Agreed to purchase services from the Cooperative or its Affiliate in accordance with established tariffs and as hereinafter specified; 2. Amend Article I Section 6 of the Bylaws to insert the underlined language so that it reads, after amendment in pertinent part as follows: SECTION 6. Purchase of Services. Each membership applicant shall, as soon as service is available, take service from the Cooperative or its Affiliate and shall pay thereafter monthly rates in accordance with established tariffs as fixed by the Board or its Affiliate and approved, when required, by the appropriate regulatory authority. 3. Amend Article II Section 2 of the Bylaws to insert the underlined language so that it reads, after amendment, as follows: ARTICLE II RIGHTS AND LIABILITIES 0F MEMBERS SECTION 2. Non-Liability for Debts of the Cooperative. The private property of the members shall be exempt from execution, or other liability, for the debts of the Cooperative or its Affiliate, and no member shall be liable or responsible for any debts or liabilities of the Cooperative or its Affiliate.
